IMPRESSION DELIVERY CORPORATION ENTERS INTO AGREEMENT TO ACQUIRE PROFESSIONAL VIDEO ASSOCIATION

 MINNEAPOLIS, July 19 /PRNewswire/ -- Impression Delivery Corporation (IDC) announced today that it has entered into a definitive agreement to acquire Professional Video Association, Inc. (PVA), of Pittsburgh. PVA, which will operate as a wholly owned subsidiary of IDC, is a 10-year old company that has developed, copyrighted, and patented a high-tech Electronic Video Poker system used in a tournament format. PVA will relocate from Pittsburgh, to Boston, in the near future.
 PVA currently has approximately 60 machines in use in Pennsylvania and Wisconsin. PVA's founder, officers, and employees are to operate the company under the terms of the proposed acquisition agreement. Other terms of the proposed acquisition were not disclosed.
 Designed principally as a game of skill and not of chance, PVA's Video Poker system is the only known video poker system believed not to be a "gambling device" in violation of the federal Johnson Act. By decision of the United States District Court for the Western District of Pennsylvania, the United States government has been judicially precluded from instituting legal action relating to PVA's machines. Because of the court's ruling, the game should not be classified as Class I, II or III under the Indian Gaming Regulatory Act.
 In the future, the company's Electronic Video Poker system may be established nationally on Indian reservations and in casinos, private clubs, restaurants, lounges, race tracks, chain stores, country clubs, fraternal organizations, fundraising organizations, convenience stores, and a variety of other establishments. Subject to the governing authority of other nations, tournament play may also be expanded internationally in the future, as well as aboard ship in international waters.
 PVA's Video Poker system is used in official tournament play, awarding skill points for high scores. Membership is required to compete. Play is established in one of five, five-card draw hands. Using 100 skill points at the start of the game, the player attempts to obtain the best possible hand for a score award. League tournament play can run hourly, daily, weekly, monthly or annually. Machines may operate on a stand-alone basis or may be networked together.
 PVA currently licenses its system for 10-year terms to authorized licensees through their representatives. Licensees place devices into various locations. Licensees pay prize money. Licensees, location owners, PVA, and representatives each receive a percentage of gross revenue. PVA's Video Draw Poker Tournament, its game play format, and regulations were first copyrighted in 1983 and patented in 1987.
 John T.
