IMEX MEDICAL SYSTEMS PURCHASES MEDACORD PVL PRODUCT LINE FROM MEDASONICS

IMEX MEDICAL SYSTEMS PURCHASES MEDACORD PVL PRODUCT LINE FROM MEDASONICS
GOLDEN, Colo., July 1 /PRNewswire/ -- Imex Medical Systems, Inc. (NASDAQ: IMEX) announced today that it has purchased from MedaSonics, Inc., a California corporation that is a subsidiary of Settsu, a large Japanese corporation, the MedaSonics line of peripheral vascular testing systems consisting of the Medacord PVL, a portable vascular testing system and its accessories and the CE system, a computer enhanced version. Prior to this acquisition, MedaSonics had been a major competitor of Imex in the hemodynamic diagnosis of peripheral vascular disease.
The consideration paid for the product line includes installment payments aggregating up to approximately $1,410,000, the exact amount to be determined after the value of inventory is quantified, and a five- year royalty of between $1,500,000 and $2,500,000 based upon net revenue booked by Imex from future sales of the products. Imex believes that its operations will generate sufficient funds to provide this consideration.
Dennis Newman, Imex president and CEO, stated, "Imex believes that with the addition of the PVL line to our existing IMEXLAB 3000DX and IMEXLAB 9000 systems, we now have the broadest line of vascular testing systems available. Most importantly, since both companies held significant positions in the market, Imex now leads with a significant market share, with the balance shared among more than 10 other companies.
"In addition, the acquisition of this product line also will give us a greater presence in the hospital and international markets, where the MedaSonics products were more established than Imex."
Vascular disease is a very serious problem in the United States affecting over 40 million Americans and costing over $14 billion a year to treat. Hemodynamic testing systems, such as the Imex and MedaSonics systems, look for problems in blood circulation and complement other more expensive diagnostic systems such as radiography or ultrasound imaging.
Imex Medical Systems manufactures and markets medical instrumentation that complements the major trends in health care including cost containment, the move to outpatient care, and earlier awareness, diagnosis and treatment of cardiovascular disease.
