IMC FERTILIZER OFFERS 3 MILLION COMMON SHARES

 NORTHBROOK, Ill., Oct. 5 /PRNewswire/ -- IMC Fertilizer Group, Inc. (NYSE: IFL), announced today the commencement of underwritten public offerings of 3 million shares of common stock through U.S. and international underwriters led by Lehman Brothers at a price of $34.50 per share. In addition, the U.S. and international underwriters will be granted over-allotment options to purchase an additional 450,000 shares.
 The common stock offerings will raise approximately $100 million (excluding the possible exercise of the over-allotment option). The company will use the net proceeds from these offerings, together with a previously announced proposed senior note offering, to purchase $220 million principal amount of 11.25 percent notes of IMC Fertilizer, Inc., for approximately $250 million. The new senior note offering is expected to be completed shortly.
