 IMC FERTILIZER FILES FOR PUBLIC OFFERING OF
 CONVERTIBLE SUBORDINATED NOTES AND SENIOR DEBENTURES
 NORTHBROOK, Ill., Dec. 3 /PRNewswire/ -- IMC Fertilizer Group, Inc. (NYSE: IFL) today filed an amendment with the Securities and Exchange Commission to its recently filed shelf registration statement providing for the proposed public offering of $100 million principal amount of convertible subordinated notes due in 2001 and $100 million principal amount of senior debentures with a maturity to be determined at the time of the offering.
 The subordinated note offering will be underwritten by Lehman Brothers; Donaldson, Lufkin & Jenrette Securities Corporation; and J.P. Morgan Securities Inc. The senior debentures will be underwritten by J.P. Morgan Securities Inc.; Goldman Sachs & Co.; and Salomon Brothers Inc.
 Net proceeds of both offerings will be used by IMC Fertilizer to retire bank debt.
 IMC Fertilizer, headquartered in Northbrook, Ill., is one of the world's leading producers and marketers of phosphate rock, potash and concentrated phosphates, all major crop nutrients. The company is also involved in the production of sulphur, oil and natural gas and recovery of uranium oxide for upgrading by electric utilities as fuel for nuclear power plants.
 Currently there are approximately 22 million shares of IMC Fertilizer stock outstanding. The company intends to apply for listing of the subordinated notes on the New York Stock Exchange.
 A registration statement relating to the subordinated notes and the senior debentures has been filed with the Securities and Exchange Commission but has not yet become effective. The securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
