IMC FERTILIZER COMPLETES PURCHASE OF $220 MILLION OF 11.25 PERCENT NOTES FROM PRUDENTIAL

 NORTHBROOK, Ill., Oct. 13 /PRNewswire/ -- IMC Fertilizer Group, Inc. (NYSE: IFL) today reported it has completed its purchase of $220 million principal amount of 11.25 percent notes of IMC Fertilizer, Inc., the company's principal subsidiary, for approximately $250 million. The notes were purchased from The Prudential Insurance Company of America and were originally scheduled to be due in annual installments from 1995 to 2004.
 The notes were purchased using proceeds from the sale of $160 million of 9.25 percent senior notes and 3,450,000 shares of common stock, both of which also were completed today.
 "We achieved our objective of increasing the company's financial flexibility by refinancing subsidiary debt with new parent company securities," said Wendell F. Bueche, president and chief executive officer. "We also realized economic benefits due to the more favorable environment of today's financial markets."
 IMC Fertilizer is one of the world's leading producers of phosphate rock and potash, two basic crop nutrients. It also is the world's largest manufacturer of concentrated phosphates, and a producer of sulphur, oil and natural gas.
