IDB COMMUNICATIONS TO ACQUIRE TRT COMM. FROM PACIFIC TELECOM; SIGNS INTERIM PACT FOR $1 MILLION/MONTH; PACT WILL BOOST REVENUE & EARNINGS

 LOS ANGELES, Jan. 22 /PRNewswire/ -- IDB Communications Group Inc. (NASDAQ: IDBX) today announced that it has reached a definitive agreement with Pacific Telecom Inc. (NASDAQ: PTCM), a subsidiary of PacifiCorp (NYSE: PPW), to acquire TRT Communications Inc., for 4.5 million shares of IDB Common Stock. TRT provides international long-distance telephone, private-leased line and telex services. In 1992, TRT generated approximately $108 million in revenue. The 1992 revenue for IDB and WorldCom from long-distance and private line services was approximately $85 million.
 In addition, the companies signed operational assistance and related agreements which are effective March 1, 1993, and will generate $1 million per month in additional revenue for IDB until the transaction closes, which is expected in the third quarter.
 The acquisition agreement with Pacific Telecom, which was effective Jan. 22, 1993, is two-tiered, stock-for-stock transaction. IDB will pay a total of 4.5 million shares of its Common Stock for 100 percent of TRT and a Teleport facility near San Francisco. A total of 1.3 million shares are to be issued now and the remaining shares will be issued at closing. The Teleport, which is home to IDB Mobile Communications' west coast facilities, includes 347 acres of real estate and transfers to IDB immediately.
 Edward R. Cheramy, IDB president, remarked, "This acquisition will add to earnings per share in 1993, even after giving effect to the additional shares outstanding. The economics of scale developed through the integration of TRT into IDB's operations are compelling and should result in even greater profitability in 1994 and beyond."
 The TRT transaction is similar and complementary to the successful acquisition of World Communications Inc. last year. IDB began managing WorldCom in April 1992, and subsequently acquired it effective Dec. 30, 1992.
 "This acquisition, combined with the new IDB WORLDCOM, makes us the number one provider of international private line services," said Jeffrey P. Sudikoff, chairman and chief executive officer of IDB. "It also greatly expands our traffic routes for international long distance telephone service, and further diversifies our customer base, yielding annualized company-wide revenues in excess of $350 million." After the transaction closes, Pacific Telecom will be entitled to one seat on the IDB Board of Directors. "We welcome Pacific Telecom to our shareholder base as an important partner for our continued growth," added Sudikoff.
 Charles E. Robinson, chairman and chief executive officer of Pacific Telecom, said, "Pacific Telecom anticipates that the combination of IDB and TRT will serve to strengthen IDB's position in the international telecommunications services market. The two companies together will form a significant competitor in this market whose performance should benefit by the consolidation of the two networks and organizations. We believe that IDB's recent acquisition of WorldCom illustrates its ability to integrate operations successfully, while enhancing shareholder value."
 IDB shareholder, Federal Communications Commission and other regulatory approvals of the proposed transaction are required.
 IDB Communications Group Inc. operates a domestic and international communications network which provides its customers with radio and television transmission services, international private-line telephone, facsimile and data connections, mobile satellite communications capabilities and international public-switched long-distance telephone services.
