HP to Acquire Trellis Software & Controls Inc.; Deal Expands HP's Expertise in Precision Motion Control.

PALO ALTO, Calif.--(BUSINESS WIRE)--Aug. 5, 1996-- Hewlett-Packard Company today announced that it has signed an agreement to acquire Trellis Software & Controls, Inc., a motion-control software company based in Rochester Hills, Mich. The acquisition is expected to enhance HP's expertise in precision motion control. Financial terms of the deal were not disclosed.

HP is a leading provider of laser-positioning systems and laser-based calibration equipment. These precision motion-control systems and products are used in manufacturing in the aerospace, automotive, semiconductor, disk-drive and machine-tool industries.

Trellis develops motion-control software used in the automotive, electronics and aerospace industries.

"Customers will benefit from the integration of Trellis' highly regarded software products and HP's precision motion-control systems, global marketing and support and research and development," said J. Martin Neil, general manager of HP's Santa Clara Division. "This integration will allow us to develop the new products that our customers want."

Under the agreement, Trellis employees become HP employees. Trellis, as a subsidiary of HP, will retain its name and will remain in its current location because it is close to several key customers. "We believe that this acquisition by HP is the best way to meet the needs of present and future customers," said Lothar Rossol, president of Trellis. "We have been working with HP for more than a year and have been impressed with the company's commitment to high-quality products, its research and development and its global presence."

Trellis Software & Controls, Inc. was founded in 1987 to develop and market motion-control software. Trellis' services include custom automation and integration software developed under contract to industrial customers, and contract product development for control hardware manufacturers.
