HONEYWELL ACQUIRES AIR CLEANER OPERATIONS OF EACI

 MINNEAPOLIS, Dec. 29 /PRNewswire/ -- Honeywell (NYSE: HON) today announced the joint acquisition, along with Minneapolis-based Donaldson Company, Inc., of Environmental Air Control Inc. (EACI), a privately held, Maryland-based company with three business units. Terms of the agreement were not discussed.
 Under the joint acquisition, Honeywell purchased EACI's Enviracaire unit, which manufactures and sells primarily portable and ceiling- mounted air cleaners. The Enviracaire business will operate as Honeywell Environmental Air Control Inc.
 Donaldson Company purchased EACI's other two businesses: Envirco Division, a supplier of ultra-clean air systems and components, and ENV Services, Inc., a subsidiary that provides air-quality testing and monitoring services to hospitals, universities and industrial facilities.
 "Enviracaire's technology, product line and distribution channels complement Honeywell's Home and Building Control business and provide an excellent fit with our strategic direction," said Michael R. Bonsignore, Honeywell executive vice president and chief operating officer.
 "The portable air cleaner market is a $200 million market in the United States with comparable potential worldwide," Bonsignore said. "We believe it will grow 10 percent annually as customers demand better indoor air quality, greater comfort and peace of mind. The addition of Enviracaire will further strengthen Honeywell's leadership position in this high-growth market."
 Enviracaire's air cleaners use high efficiency particulate air (HEPA) filters, which are ideal for environments requiring maximum air filtration. Enviracaire air cleaners are the only indoor air cleaners certified as Class II medical devices. To be certified, the product must pass an efficacy test that proves the product meets its claims. To receive its rating, Enviracaire conducted consumer studies proving Enviracaire air cleaners provide significant relief for allergy sufferers.
 Honeywell's electronic air cleaners, on the other hand, remain the most appropriate option for whole-house applications. The combination of these two product lines gives Honeywell the ability to offer a total air quality solution ranging from whole-house air cleaners to portable units that are sized to handle small, medium or large rooms. The acquisition of this well-positioned, quality product line also completes the offerings and increases the value Honeywell delivers to consumers -- particularly people with special needs whose independent lifestyles are enhanced by these products.
 Enviracaire's air cleaners are compatible with the full line of Honeywell's home control systems, such as the Perfect Window home ventilation system, the company's commercial air cleaners and its security systems. Honeywell primarily sells its air cleaners through heating, air conditioning and ventilating distribution channels. Enviracaire markets its portable air cleaners to retail and medical supply outlets.
 Enviracaire is headquartered in Hagerstown, Md. Honeywell does not expect any of its management to move to Enviracaire.
 Honeywell Environmental Air Control Inc. will become part of Honeywell Home Control, which provides products and systems that promote air quality and control solutions in the home.
 Enviracaire President Bill O'Hara will manage Honeywell Environmental Air Control Inc. and will report to Linda Whitman, director of home systems for Honeywell Home and Building Control. Dick Dempster, former chief executive officer of EACI, will remain as a consultant to Honeywell's worldwide air quality business.
 EACI's Enviracaire division anticipates revenues exceeding $20 million for 1993 year end. Honeywell said the acquisition will have no material effect on Honeywell's earnings this year.
 Honeywell is a global controls company that provides products, systems and services for homes and buildings, industry, and aviation and space. The company employs 58,000 people worldwide and had 1991 sales of $6.2 billion.
