HOLMES MICROSYSTEMS INC. ANNOUNCES PROPOSED BUSINESS COMBINATION WITH ANGIA COMMUNICATIONS

 SALT LAKE CITY, Nov. 8 /PRNewswire/ -- Holmes Microsystems Inc. ("Holmes"), a small publicly held company, announced today that is has entered into a Letter of Intent with the owner of Angia Communications whereby the two companies would combine their operations which consist of the sale of computer peripherals to facilitate communication with portable computers, principally lap top (sometimes referred to as fax modems).
 Holmes has been selling its product primarily in the foreign market and Angia Communications primarily in the United States (domestic) market. The combination of Holmes and Angia Communications should allow both companies an opportunity to substantially increase sales to the rapidly expanding portable data communication market place and undertake some of the research necessary to develop new products.
 The terms of the Letter of Intent contemplate the infusion of approximately $1,000,000 in new capital, a registration with the Securities and Exchange Commission and a NASDAQ listing. Under the terms of the agreement, Holmes' shareholders are expected to end up with approximately 39 percent of the combined entities. There are a number of conditions precedent which must be met before the transaction can be closed, including the obtaining of the $1,000,000 in new capital and the satisfactory completion of due diligence reviews by each party.
 In late 1992, K.T. Higginson & Company Inc., purchased control of Holmes and has subsequently restructured its management. The board of directors now consists of James C. Bills, former executive vice president of Novell Inc., Kraig T. Higginson, Holmes' major shareholder, and Clark Johnson, a long-time Holmes officer.
