HFS EXPANDS BOARD OF DIRECTORS; WILLIAM E. FRUHAN, JR. AND ROBERT F. SMITH ELECTED

 PARSIPPANY, N.J., Feb. 8 /PRNewswire/ -- Hospitality Franchise Systems, Inc. (NYSE: HFS), today announced the election of William E. Fruhan, Jr. and Robert F. Smith to the board of directors, filling two recently created board positions. Both new members will serve on the audit committee.
 William E. Fruhan, Jr. is the Thomas D. Casserly, Jr. Professor of Business Administration at Harvard Business School. He currently serves as chairman of the finance area at the School and has also served as faculty chairman for the Corporate Financial Management executive education program. Professor Fruhan is also author of "Revitalizing Businesses" (1985), "Financial Strategy" (1979) and "The Fight for Competitive Advantage" as well as numerous articles. Professor Fruhan was one of the early developers of value-based strategic planning and currently conducts his research in corporate restructurings and in developing business level and corporate strategies aimed at enhancing shareholder values. He earned his B.S. from Yale University and his M.B.A. and D.B.A. from Harvard University.
 Robert F. Smith is the retired chairman and chief executive officer of American Express Bank Ltd. (AEBL). He joined AEBL's parent company, the American Express Company, in 1981 as corporate treasurer before moving to AEBL and serving as vice chairman and co-chief operating officer and then president prior to becoming CEO. Mr. Smith also spent 28 years with the General Electric Company in various financial assignments, including chief financial officer of GE's international sector with financial responsibility for GE affiliates worldwide. Mr. Smith is currently chairman of the board of trustees of Bentley College, Waltham, Mass., and is a partner in Car Component Technologies, Inc., an automobile parts remanufacturer located in Bedford, N.H.
