HECTOR COMMUNICATIONS REPORTS ON CORPORATE DEVELOPMENTS

HECTOR, Minn., Dec. 15 /PRNewswire/ -- Hector Communications Corporation (NASDAQ: HCCO) (HCC) reported today on the expansion of its cable television operations, as well as a favorable FCC ruling regarding the ownership interest of the Gabelli Group in the company.
North American Communications Corporation, a wholly owned subsidiary of Hector Communications Corporation has completed the acquisition of the Minnesota cable television properties of Renaissance Cable TV of Minnesota. The acquisition adds 580 cable television customers at Big Fork, Bigfalls, Bovey and Coleraine, Minn. North American has also begun construction of the Northrom and Kelliher, Minn. systems and expects to begin construction of the Garrison, Minn. system in January.
The company's cable system in Hudson, Wis. Township is being marketed with favorable results. The Renaissance acquisition and the construction in progress will more than double the company's cable customers to over 2,000 by early 1993. The company is arranging financing with St. Paul Bank for Cooperatives (CoBank) to replace the short term financing.
The company also has been notified that the FCC has granted the Gabelli Group, which owns about 20 percent of HCC, eight months to come into and remain in compliance with respect to a technical violation of federal statutes regarding cross ownership. The technical violation is due to indirect ownership of a minority position in a Minneapolis TV station which serves the same market as the company's cable television system in Pine Island, Minn. and rural Hudson.
Tentative agreement has been reached on the terms of a non-voting convertible preferred stock which the company would issue to Gabelli in exchange for the common stock holdings, thereby bringing the group into compliance. In the event FCC rules are changed the exchange of preferred stock for common stock may be unnecessary in whole or in part.
HCC, headquartered in Hector, operates five independent telephone companies serving nine rural communities in Minnesota and Wisconsin, and is involved in cellular telephone and cable television ventures.
