HEALTHTRUST PURCHASES MEDICAL CENTER HOSPITAL FOR $68.5 MILLION

 NASHVILLE, Tenn., May 26 /PRNewswire/ -- Healthtrust, Inc. -- The Hospital Company (NYSE: HTI) has purchased the 182-bed Medical Center Hospital in Conroe, Texas, from the Montgomery Country Hospital District for $68.5 million. This transaction follows the March 23, 1993, announcement of a letter of intent to purchase the hospital. HealthTrust, based in Nashville, Tenn., has 84 affiliate hospitals in 21 southern and western states, including the 135-bed Doctors Hospital of Conroe, in Conroe, Texas. Included in the transaction are the hospital, an attached medical office building and 82 acres owned by the hospital district.
 As part of the purchase agreement, HealthTrust will provide health care services to the county's indigent population on a fee for service basis, up to a maximum of $6 million per year plus inflation.
 Both Medical Center Hospital and Doctors Hospital are part of the greater Houston SMSA. According to the Texas Hospital Association, approximately 50 percent of the patients in Montgomery County utilize one of approximately 60 other hospitals in the greater Houston area for medical attention. Cost efficiencies gained from eliminating unnecessary duplication of services, programs and construction will be available to expand and enhance the current health care system in the county, according to Richard E. Francis, Jr., senior vice president of development for HealthTrust.
