HEALTHTRUST, INC. SIGNS LETTER OF INTENT TO PURCHASE NASHVILLE MEMORIAL HOSPITAL

 Nashville, Tenn., Nov. 4 /PRNewswire/ -- Healthtrust, Inc. -- The Hospital Company (NYSE: HTI) has signed a letter of intent to purchase Nashville Memorial Hospital in Madison, Tenn., which is 12 miles from downtown Nashville, according to R. Clayton McWhorter, president and CEO of HealthTrust.
 Nashville Memorial is an independent not-for-profit, 314 bed tertiary medical center which was founded in July 1965, and had 1993 gross revenues of approximately $86.0 million. The hospital has approximately 200 physicians on staff. Proceeds from the sale will be used to create and fund the Nashville Memorial Health Systems Foundation dedicated to expanding and encouraging the delivery of health care and related services to the middle Tennessee community through financial and other assistance.
 The terms of the agreement were not disclosed, and the agreement is conditioned upon all necessary approvals and consents. Closing is expected by year end.

"The purchase of this hospital is consistent with our network development strategy, and its addition will expand our geographic coverage and broaden our scope of services which will enhance our network's competitive position."
