HEALTHTRUST, INC. SIGNS LETTER OF INTENT TO PURCHASE MEDICAL CENTER HOSPITAL

 NASHVILLE, Tenn., March 23 /PRNewswire/ -- HealthTrust, Inc. -- The Hospital Company (NYSE: HTI) and the Montgomery County Hospital District of Conroe, Texas, have signed a letter of intent that provides for HealthTrust to purchase the 182-bed Medical Center Hospital in Conroe. The property, plant and equipment will be purchased for $85 million and an additional amount to be determined will be paid for working capital. HealthTrust owns and operates the 135-bed Doctors Hospital of Conroe. Both hospitals are located in the Houston MSA.
 Included in the transaction are the hospital, an attached medical office building and approximately 40 to 50 acres of land owned by the hospital district. The letter of intent contemplates a long term contract for HealthTrust to provide hospital services to the indigent.
 According to Richard E. Francis Jr., HealthTrust's senior vice president of Development, HealthTrust plans to merge the hospitals in order to provide a more cost efficient, comprehensive health care delivery system in Conroe. "The economies of scale which will be realized by merging the services of these hospitals will allow us to eliminate many costs associated with duplicated services, equipment and construction that are characteristic of the current situation in Conroe," said Francis. "We will be in a position to offer a wider range of services on a more efficient basis so the residents of Montgomery County can be better served locally."
 The transaction is expected to close in May.
 As a part of the company's growth plan, HealthTrust last year purchased Gilmer Medical Center in Gilmer, Texas, and El Campo Memorial Hospital in El Campo, Texas. The company also recently announced the signing of a letter of intent to purchase Methodist Hospital of Middle Tennessee in Winchester, Tennessee. The purchase of Medical Center Hospital in Conroe will be the fourth acquisition for the company since December.
 HealthTrust, Inc., headquartered in Nashville, Tennessee, is one of the largest health care providers in the United States with assets of $2.4 billion. The Company provides a variety of acute and other health care services in 21 southern and western states.
