 HEALTHDYNE AND HNS ANNOUNCE ACQUISITION
 MARIETTA, Ga., Aug. 28 /PRNewswire/ -- Healthdyne (OTC: HDYN) and


its majority owned subsidiary, Home Nutritional Services, Inc. (OTC: HNSI) today announced the acquisition by HNS of Medical Technology Services, Inc. ("MedTeck"), a privately held home infusion therapy company doing business primarily in the greater New York and New Jersey area.
 The consideration for the transaction involved a $12 million cash payment plus notes and additional consideration for future performance. The principals of MedTeck will remain with HNS after the transaction. For the six months ended June 30, MedTeck had pre-tax net income, before consideration of certain compensation paid to the former owners which is not expected to continue following the acquisition, of approximately $2.5 million.
 John W. Anderson, president and CEO of HNS, stated: "We are very pleased with this acquisition and the addition of Michael Nestico and Stephen Monahan to our management team. With the addition of the quality individuals involved with MedTeck, I expect the combination to proceed smoothly and add significantly to our growth in this area."

The company is one of the oldest and largest providers of home infusion care and conducts its business through 37 regional centers, 18 satellite facilities, and 26 additional sites of service.
