 HBJ SHAREHOLDERS APPROVE MERGER WITH GENERAL CINEMA
 ORLANDO, Fla., Nov. 23 /PRNewswire/ -- Harcourt Brace Jovanovich,


Inc. announced that it received a sufficient number of votes at its shareholder meeting today to approve the proposed merger in which HBJ will become a wholly owned subsidiary of General Cinema Corporation (NYSE: GCN).
 An affirmative vote of two-thirds of the outstanding shares of HBJ common stock and a majority of outstanding shares of HBJ preferred stock was required for approval of the merger.
 John S. Herrington, chairman of the board of directors of HBJ, said, "We have come to the successful conclusion of a lengthy, complex and difficult process. Today's decision by HBJ's shareholders means that the company can put behind it the financial uncertainty of the last few years. The many people involved in this effort can be proud of their accomplishment."
 General Cinema's shareholders also approved today certain matters necessary for the merger. General Cinema has indicated that all regulatory approvals for the merger have been obtained.
 General Cinema and HBJ plan to consummate the merger Monday, Nov. 25, 1991.
