GULL LABORATORIES MERGES BELGIAN MEDICAL DIAGNOSTICS FIRM

SALT LAKE CITY, May 14 /PRNewswire/ -- Dr. Myron Wentz, chairman of the board of Gull Laboratories, Inc., (NASDAQ: GULL), today announced the signing of an Agreement of Merger between Gull Europe, a wholly- owned subsidiary of Gull, and Biolab, S.A., a Belgian manufacturer and marketer of Immunodiagnostics. As a result of the merger, Biolab will become a wholly-owned subsidiary of Gull Europe. The merger of Gull Europe is projected to contribute $7 million in revenues to Gull Laboratories on a consolidated basis in 1993. Terms of the merger were not announced.
"This agreement realizes our goal of achieving a physical presence in the European Economic Community," said Milton G. Adair, Gull president and CEO. Among the many benefits of the agreement with Biolab," Adair continued, "the most important is the strength it provides to our international distribution network, which has accounted for the major portion of our revenues in the past and is a major avenue for growth in the future."
Gull plans to immediately take the first steps necessary to distribute the Biolab product line in the U.S. Commented Adair: "Biolab currently offers a line of tests for autoimmune diseases, which complement our infectious disease tests. We believe the market potential for autoimmune testing to be nearing that of infectious disease tests. This expanded product line will also help as we develop a domestic sales force.
"This merger fits perfectly with Gull's renewed emphasis on the diagnostics products market," said Adair. "Combined with the acquisition of Biodesign, we have now completed a major portion of our short-term strategic plan for the growth of Gull Laboratories. A major asset of this merger is the strong R&D capabilities of Biolab and the numerous products they currently have in development. This will not only enhance their growth in the future but also that of Gull's domestic markets as well.
"Biodesign, a bioreagents manufacturer and distributor, was acquired by Gull in 1992. Since its acquisition, Biodesign has exceeded the company's expectations in both revenues and profits contributed to Gull's first quarter results. Biodesign will supply components for the development of both Gull and Biolab products and the markets for these products will be enhanced both domestically and internationally."
Founded in 1974, Gull Laboratories, Inc., develops, manufactures and markets high-quality diagnostic test kits for the detection of infectious diseases. The company markets these products for use in hospitals and clinical laboratories around the world. Gull recently spun off its nutritionals manufacturing and marketing operation into a separate company, USANA, Inc.
