GTECH SIGNS AGREEMENT WITH GENERAL INSTRUMENT CORPORATION FOR PURCHASE OF AMTOTE INTERNATIONAL

 WEST GREENWICH, R.I., Jan. 29 /PRNewswire/ -- GTECH (NYSE: GTK) announced today that the company and General Instrument Corporation (NYSE: GIC) have signed a definitive agreement providing for the previously announced purchase by GTECH of certain of General Instrument's businesses operated primarily by its subsidiary, AmTote International ("AmTote"). The acquisition consists of businesses involved in on-track and off-track pari-mutuel wagering, stand-alone keno, printing and benefits delivery systems, but excludes General Instrument's on-line lottery and video lottery businesses, as well as certain real estate. The purchase price for the businesses is $20.8 million.
 AmTote's pari-mutuel wagering business consists of the design, production, implementation, operation and/or sale of on-line terminals and systems for approximately 100 customers worldwide, including racetracks, off-track betting corporations, totalizator agency boards and jai alai frontons. AmTote's stand-alone keno business is based on a keno product produced in Australia. AmTote's printing business consists primarily of the printing of pari-mutuel wagering tickets. The benefits delivery systems business consists of the supply and operation of an on- line system for the distribution of public assistance funds and food stamps for the Human Resources Administration of the City of New York.
 The closing of the acquisition is subject to certain conditions, including the obtaining of certain regulatory approvals.
 GTECH Corporation designs, produces, implements, operates and services computerized networks for government-sponsored or licensed lotteries on five continents. In addition, GTECH Corporation provides a wide variety of instant ticket support services. GTECH currently supplies and/or operates lottery systems for 25 U.S. customers and 33 jurisdictions outside of the United States.
 GTECH Corporation employs approximately 1,000 people in Rhode Island and more 3,000 worldwide.
