 GTECH HOLDINGS CORPORATION ANNOUNCES SECONDARY OFFERING
 OF ITS COMMON STOCK
 WEST GREENWICH, R.I., Nov. 5 /PRNewswire/ -- GTECH Holding Corporation (NYSE: GTK), the parent of GTECH Corporation, announced today that it has filed a registration statement with the Securities and Exchange Commission in connection with a proposed public offering of 6 million shares of its common stock by certain of its stockholders through a syndicate of underwriters led by Donaldson, Lufkin & Jenrette Securities Corporation, Lehman Brothers, Lehman Brothers International, Morgan Stanley & Co. Incorporated, Morgan Stanley International and Paribas Capital Markets Group. It is anticipated that the proposed offering will occur later this year. The company completed an initial public offering of its common stock in July 1992.
 The shares will be sold by DLJ Capital Corporation and its affiliates and the management of the company. Following the offering, DLJ Capital Corporation and its affiliates will own approximately 40.6 percent and the Management will own approximately 12.6 percent of the outstanding Common Stock of the company.
 The proposed offering will be made only by means of a prospectus which may be obtained from the underwriters.
 GTECH Corporation designs, produces, implements, operates and services computerized on-line networks for government-sponsored or licensed lotteries on five continents.
 A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
