 GREAT LAKES BANCORP WARNS OF UPCOMING PROXY FIGHT
 ANN ARBOR, Mich., May 7 /PRNewswire/ -- Great Lakes Bancorp


(NASDAQ-NMS: GLBC) today notified its shareowners that a proxy contest is in the offing.
 In a letter to owners of its common stock, Great Lakes' Chairman Roy E. Weber said that a Detroit stockbroker, Peter T. Kross, was reportedly going to solicit votes against the Board of Directors' nominees and for his own slate, as well as for a nonbinding proposal to form a committee of directors to solicit and review offers to acquire the Ann Arbor-based savings bank.
 Today, Great Lakes learned that Kross has begun mailing his own proxy materials to the bank's shareowners. Great Lakes' annual meeting is scheduled for May 20.
 Weber noted in his letter that the Department of Treasury's Office of Thrift Supervision ruled that a previous attempt by Kross to force Great Lakes' Board to call a special meeting of shareowners violated federal securities laws. At that time, Weber said, the OTS directed Kross to cease and desist his illegal solicitation.
 Weber told shareowners that they would soon receive additional information from Great Lakes.
 With $2.8 billion in assets and $1.8 billion in deposits, Great Lakes Bancorp is Michigan's second largest savings bank. Great Lakes has branches throughout Michigan, with primary concentrations in the Ann Arbor, Battle Creek, and Saginaw areas. In addition, a division of Great Lakes, Dollar Federal Savings Bank, has a significant presence in Hamilton, Ohio. Great Lakes also operates Great Lakes Mortgage Co., a mortgage banking subsidiary.
