GRAFF PER-PAY-VIEW AND ROOM SERVICE TV ANNOUNCE MERGER AGREEMENT

GRAFF PER-PAY-VIEW AND ROOM SERVICE TV ANNOUNCE MERGER AGREEMENT
NEW YORK, May 1 /PRNewswire/ -- Executives of Graff Pay-Per-View, Inc. a publicly held company, and Room Service TV, Inc., (RSTV) have reached a merger agreement, wherein RSTV will become an operating division of Graff Pay-Per-View.
RSTV, which was founded in 1987 by Leonard Sabal, is best recognized for its proprietary credit-card approach to PPV systems utilized in hotels and small non-addressable CATV systems.
At Graff's booth at the NCTA national convention in Dallas on May 3-6, RSTV will unveil its new 80-channel PPV system for hotels, and will have demonstrations of its PPV ordering and delivery technology. This new technology is especially suitable to small CATV systems that wish to add pay-per-view services without any plant upgrade or rebuilding expense. Other benefits include direct credit card billing of PPV charges.
Mark Graff, president of Graff Pay-Per-View, commented, "We are enthusiastic about the opportunity of creating new billing systems and new hardware alternatives for CATV and hotel PPV services. RSTV technology will enable CATV operators to serve their hotel accounts with in-room PPV, small CATV systems to add PPV services profitably, and mid- and small-sized hotels to provide an important guest amenity. It will also enhance our hotel business, Guest Cinema, which currently serves 40,000 hotel rooms nationwide. We acquired this business from Reiss Media in 1990."
Leonard Sabal, president of RSTV, noted, "In considering business partners to help us aggressively and successfully develop a position of leadership in our various market segments, Graff Pay-Per-View, with its market base and various PPV program services and offerings, was the logical choice. Graff is a publicly-traded company with aggressive expansion plans and Roger Fagerty, the chairman of Graff has extensive financial expertise, therefore, the overwhelming conclusion is that Graff is not just the logical choice, but the best choice for RSTV.
Graff owns and operates two satellite-delivered, 24-hour-a-day television networks featuring films and entertainment programs. Programming on the networks is sold on a pay-per-view basis and is available through cable television systems and in hotels across the United States including Alaska and Hawaii, as well as to consumers with home satellite dish antennas. Founded in 1987, Graff has concentrated exclusively on the development of its pay-per-view business and has grown to become one of the leaders in the emerging pay-per-view industry.
