GRACE SUBSIDIARY ACQUIRES AMERICAN HOMECARE

 BOCA RATON, Fla., March 1 /PRNewswire/ -- W. R. Grace & Co. (NYSE: GRA) today announced the acquisition of Virginia-based American Homecare Equipment, Inc. by a Grace subsidiary. The acquisition will expand the nationwide operations of NMC Homecare, a unit of Grace's National Medical Care subsidiary, to 80 service facilities in 25 states providing comprehensive home intravenous drug and nutritional infusion and respiratory therapy services. The acquisition was effected by means of a merger involving the issuance of approximately 116,000 shares of Grace common stock.
 "This transaction should enable Grace's NMC Homecare to serve an even greater number of people at home and in other community settings. In addition, it will bring unparalleled experience, expertise and resources to those who need a safe, cost-effective alternative to extended hospitalization," said NMC Homecare president, Peter F. Spears.
 American Homecare founder and president, T. W. Taylor, will continue in his position during a transition period, to facilitate a smooth integration of the two organizations.
 "American Homecare's strong local presence, combined with NMC Homecare's nationwide resources, should strengthen valued relationships within the healthcare community and will enhance the scope of services available to patients," Taylor said.
 Spears explains that the transaction is consistent with NMC Homecare's organizational philosophy that is local in focus and national in scope. "Our service facilities operate within a national framework that allows local community focus while maintaining exceptional national standards for service delivery and patient care. With this expansion in the state of Virginia, NMC Homecare is positioned to better serve patients nationwide and respond to the challenges of healthcare reform," he said.
