 GRACE COMPLETES SALE OF COPLANAR UNIT
 TO MACKLANBURG-DUNCAN
 CAMBRIDGE, Mass., Dec. 16 /PRNewswire/ -- A subsidiary of W. R. Grace & Co. (NYSE: GRA) today announced the sale of its Coplanar foam sealant product line to Macklanburg-Duncan, a manufacturer of energy saving products. Terms of the transaction were not disclosed.
 The Coplanar business, located in Fort Worth, Texas, was part of Grace's Construction Products Division engaged in the manufacture of polyurethane foam sealants in the United States. Its products are marketed under the name of Polycel. Polyurethane foam sealant, an energy saving product, is primarily used to prevent air infiltration in and out of buildings.
 While the Coplanar business is viable in urethane foam sealants, the sale of its assets is consistent with the Construction Products Division's vision and Grace's corporate strategy, which focuses on six core business areas: flexible packaging, container sealants, construction products, water treatment, catalysts and other silica-based products, and health care.
 Donald H. Kohnken, president of Grace Specialty Chemicals and executive vice president of W. R. Grace & Co., said, "The divestment of the Coplanar business will allow Grace to focus resources on specialty construction products where we can offer the most value to customers and where we can maintain a leadership position in the marketplace."
 Macklanburg-Duncan of Oklahoma City is a major supplier of energy-saving and home-improvement products to the hardware/home center market and holds a significant share of the polyurethane foam sealant business in this market. The acquisition of the Polycel brand will strengthen its position in the marketplace.
 Grace is the world's largest specialty chemicals and materials company with a leadership position in health care.
