GOODE AND MAGOWAN NAMED DIRECTORS OF CATERPILLAR INC.

 PEORIA, Ill., June 9 /PRNewswire/ -- David R. Goode, chairman, chief executive officer and president of Norfolk Southern Corp., and Peter A. Magowan, chairman of Safeway, Inc., and president and managing general partner of the San Francisco Giants, have been elected directors of Caterpillar Inc. (NYSE: CAT).
 Goode joined Norfolk and Western Railway Company, a predecessor to Norfolk Southern, in 1965 as a tax attorney, and became vice president- taxation of Norfolk Southern in 1985 and executive vice president- administration in 1991. He was named president later in 1991, and chairman and chief executive officer in 1992. In addition to Norfolk Southern, he is a director of Georgia-Pacific Corp. and TRINOVA Corp., and is a graduate of Duke University, the Harvard Law School and the Harvard Business School's Advanced Management Program.
 Magowan served as Safeway's chief executive officer from 1979 until April 1993, when he resigned that position to dedicate more time to the Giants baseball organization. During his 25 years at Safeway, his responsibilities have included managing the company's international operations in Canada, the United Kingdom, West Germany and Australia. He has been chairman of Safeway since 1980.
 Magowan also serves as a director of Safeway, Chrysler Corp. and The Vons Companies. He holds a bachelor's degree from Stanford University and an MA degree from Oxford, and has studied at the post-graduate level at the Johns Hopkins School of Advanced International Studies.

"David Goode brings broad experience in the transportation industry as well as an excellent business background. We are delighted to add two individuals of this stature to our board."
 Their election increases the board of directors' membership to 12.
