GM FORMS NEW ELECTRICAL CONNECTOR SUBSIDIARY

 WARREN, Ohio, April 2 /PRNewswire/ -- The assets of Hughes Interconnect Systems Division of Hughes Aircraft Co. have been sold to Packard Electric Division of General Motors Corp. (NYSE: GM), according to Packard Electric General Manager Rudolph A. Schlais Jr. and Michael T. Smith, vice chairman, GM Hughes Electronics Corp. (NYSE: GMH)
 Interconnect Systems Division (ISD) is a leading supplier of electrical and fiber optic connectors, flexible printed circuits and round wire harness assemblies to commercial and military markets.
 After the acquisition by Packard, this business will be called Packard/Hughes Interconnect Systems. It will operate as a wholly owned subsidiary of GM with management and product development links to Packard Electric and Hughes. The subsidiary will continue to be headquartered in Irvine, Calif.
 Walter M. Stender, the current division manager of Hughes ISD, will continue to be responsible for the new subsidiary. Packard/Hughes Interconnect Systems will have reporting responsibilities to Packard Electric Division.
 Packard/Hughes Interconnect Systems will employ approximately 1,000 current Hughes employees and will operate from the following five facilities:
 -- Hughes Interconnect Systems Division, located and headquartered in Irvine, Calif.
 -- Hughes Aircraft-Alabama, Inc., located in Foley, Ala.
 -- An operation of Hughes Missile Systems Co., located in Fort Defiance, Ariz.
 -- AZ Engineering Co., Inc., located in Santa Ana, Calif.
 -- INTERAZ, S.A., de C.V., located in Tijuana, B.C., Mexico.
 Packard remains committed to retaining the technical leadership that has long benefited Hughes ISD customers, according to Schlais.
 "New applications of ISD technologies will not reduce the organization's commitment to providing leading edge interconnect technologies to its current customer base," he stated.
 Schlais added that the combination of Packard's organizational emphasis on anticipating and responding to customer needs and Hughes technology should provide significant benefits for current ISD customers.
 "Packard and Hughes Interconnect have a unique opportunity to bring together manufacturing and product technology synergies that can create significant opportunity in the near future," Schlais said.
 He observed that a key advantage the new organization will enjoy is an ongoing route to commercialization for next-generation Hughes Interconnect technologies.
 "This acquisition will allow both existing and future Hughes technologies to come to market using the worldwide customer base and the high-volume production expertise of Packard Electric," Schlais stated. "We believe commercial introduction of Hughes Interconnect technologies will also provide a significant competitive advantage for Packard in the marketplace."
 Packard Electric Division, a member of GM's Automotive Components Group Worldwide, is the world's largest manufacturer of automotive power and signal distribution systems. Packard employs approximately 64,000 people at 131 locations in 21 countries. Packard's world headquarters are located in Warren.
