GLOBAL SPILL MANAGEMENT REPORTS RESULTS OF FIRST ANNUAL STOCKHOLDERS' MEETING; DR. EDWARD S. GILFILLAN JOINS BOARD OF DIRECTORS

PARKER FORD, Pa., Nov. 23 ~PRNewswire~ -- Peter White, chairman and CEO of Global Spill Management, Inc. (NASDAQ: GSMI) (the "company"), reported the results of the company's first annual stockholders' meeting held this past week in Philadelphia.
White reported that all of the candidates nominated for the board of directors of the company were approved by the stockholders by large majorities. The incumbents returning to the board with White are: David R. Stith, vice chairman of Global and president of Global's subsidiary, Underwater Technics; Aubrey L. ("Mike") Pettit Jr., Global's president and general counsel; and Leslie H. Stanfield, Global's executive vice president and president of Global's Acme Containment Group subsidiary.
Joining them on the board is newly elected member Dr. Edward S. Gilfillan, director of the Marine Research Laboratory of Bowdoin College in Brunswick, Maine. Gilfillan, a world renown academician, is also a member of the research committee of the Wells National Estuarine Research Reserve as well as a director of the Maine Marine Research Board.
White also announced that the stockholders overwhelmingly approved amendments to the company's articles of incorporation authorizing the issuance of 5 million shares of Series Preferred Stock as well as approving amendments to the company's equity incentive plan and a company employee stock purchase plan.
The amended equity incentive plan enlarges the class of eligibility of the plan to include all employees. White said he believes both plan actions are key to rewarding employee loyalty and incentivizing them to greater participation in the future profitability of the company.
The stockholders also ratified the board's selection of Arthur Andersen & Co. as the company's independent outside public accountants for the fiscal year.
Global Spill Management, Inc., is a full-service environmental contracting and consulting company serving Pennsylvania, New York, New Jersey, Maryland and the Delaware River Basin. The company also manufactures and sells oil spill containment booms, adsorbent booms, skimmers, and related equipment and materials.
