PHOENIX, Oct. 29 /PRNewswire/ -- GES Exposition Services Inc., a subsidiary of The Dial Corp. (NYSE: DL), announced today that it has completed the acquisition of Andrews, Bartlett & Associates Inc. Both firms are leaders in the fast-growing tradeshow and convention-services industry.
GES announced on Sept. 27 that it had signed an agreement to acquire Andrews, Bartlett, which will add $100 million in annual revenues.
"Andrews, Bartlett is an outstanding firm that is respected throughout our industry," said Nort Rittmaster, GES chairman and chief executive officer. "The firm is known for the quality of its personnel, its commitment to customer service and its break-through creativity. In fact, Andrews, Bartlett set many of the industry's design and service standards."
"We're extremely pleased that H.O. `Butch' Bartlett, president and CEO of Andrews, Bartlett, will join GES' executive management team," said Gerald G. Zwick, GES president and chief operating officer. "Butch will take responsibility for key areas as senior executive vice president, sales and marketing."
Bartlett's sister, Bonnie Aaron, will join GES as vice president, customer service, Zwick said. She was an owner of Andrews, Bartlett and held the title of senior vice president and chief administrative officer.
GES expects a very smooth integration of personnel and services, Zwick said. In those cities where both firms had offices, operations will be combined. In addition, GES will add Andrews, Bartlett's Cleveland and Hudson, Ohio, offices to its roster.
"This is a good move for our customers and for both companies," Bartlett said. "We have complementary strengths, and the new GES will offer the finest and most extensive combination of personnel, service and locations in the industry -- an industry where personal relationships and service are all important."
GES provides full service to expositions, exhibitors and special events, including design, decorations, furnishings, exhibit building and rental, drayage, electrical, audiovisual and installation and dismantling. Headquartered in Las Vegas, the firm has 22 offices serving 50 major convention locations. GES was founded in Kansas City in 1939 and acquired by The Dial Corp. in 1969. It has approximately 800 full-time employees.
Andrews, Bartlett was headquartered in Hudson, Ohio, and had 13 other offices with principal operations in Cleveland, Chicago, Atlanta, Washington, D.C., New Orleans and Orlando. The firm employed approximately 400 people.
Founded in 1935 as the American Flag and Decorating Co., the firm became Andrews, Bartlett & Associates Inc. in 1968. Harold E. Bartlett, father of Butch Bartlett, served as president and majority stockholder until he turned over daily operations to his son in 1977.
GES's acquisition of Andrews, Bartlett reflects The Dial Corp.'s long-term strategy of focusing on its core businesses, which are consumer products and services. Dial successfully completed a 10-year restructuring in August when it sold its transportation manufacturing operations for $350 million through a public sale. Headquartered in Phoenix, Dial is using the cash to strengthen the leadership positions of its businesses, as well as strengthening shareholder value by repurchasing stock and refinancing long-term debt.
"We want our businesses to rank as leaders in their respective market niches," said John W. Teets, Dial's chairman, president and chief executive officer. "GES Exposition Services has reached a leadership position through its steady growth and through two major acquisitions this year, Andrews, Bartlett today and United Exposition Service last May.
"These acquisitions will more than double GES's annual revenues to an estimated $400 million," he said. "The future looks very bright for this company."
