GENTRA INC. SUBORDINATED DEBTHOLDERS APPROVE PLAN OF ARRANGEMENT

 TORONTO, Aug. 19 /PRNewswire/ -- At the fourth and final voting meeting on Gentra Inc.'s (formerly Royal Trustco Limited) Plan of Arrangement, subordinated debtholders voted 98.04 per cent in favor of the plan. The plan has now been approved by all classes of Gentra's securityholders.
 Votes of the subordinated debtholders for the plan were 1,009,363; votes against were 20,194. Total votes polled were 1,029,557.
 A total of 345 subordinated debtholders were present or represented by proxy at the voting meetings, held simultaneously and linked by video conference, in London and Toronto. Those present or represented by proxy represented 80.02 percent or C$1,029,563,772.88 principal amount of subordinated debt. Total subordinated debt issued and outstanding is C$1,286,526,553.13.
 At the three voting meetings held earlier this week the percentage approvals of the plan were as follows:
 Senior debt: 99.96 percent
 Common shares: 91.62 percent
 Preferred shares: 94.26 percent.
 The Plan of Arrangement effects the sale of substantially all of Gentra's domestic and international operating subsidiaries to Royal Bank of Canada. The last remaining step towards completion of the transaction is approval by the Ontario Court of Justice. The hearing by the court is scheduled for Aug. 30, 1993.
