GENERON SYSTEMS OWNERSHIP REORGANIZES

 HOUSTON, Oct. 21 /PRNewswire/ -- The BOC Group and the Dow Chemical Company have decided to reorganize their Generon Systems joint venture partnership. The partnership will be dissolved and replaced with new contractual arrangements. Dow will own and operate Generon Systems, Inc., which will sell air separation membrane products and systems to BOC and others. In addition to systems based on membrane technology from Dow, BOC will continue its development of PSA and VSA systems for nitrogen, oxygen, and other gases.
 Dow and BOC believe that this is a sensible organization for both companies. Both have benefited from their partnership in Generon Systems which has developed technology and installed systems with total effective capacity of 4.5 million standard cubic feet of nitrogen per hour. Both companies, however, believe that further commercial exploitation will be more effective with the new arrangements which are intended to permit greater economies of production scale. Dissolution of the partnership will not cause a significant profit impact for either Dow or BOC.
