GENERAL SIGNAL AGREES TO SALE OF GCA TROPEL UNIT

 STAMFORD, Conn., June 29 /PRNewswire/ -- General Signal Corporation (NYSE: GSX) announced today that it has signed a letter of intent to sell its GCA Tropel business to the company's management, led by Dr. John Bruning, president and chief operating officer of GCA Tropel. Terms of the agreement were not disclosed.
 Based in Fairport, N.Y., Tropel is a world leader in optical design, manufacturing and testing techniques. The company has developed proprietary metrology and optical fabrication capabilities which have allowed Tropel to set new standards in precision optics while forming the basis for their line of flatness and surface metrology products. According to Stephen W. Nagy, General Signal's chief financial officer, "we are pleased to have reached agreement with Dr. Bruning's team because we believe they are best qualified to continue to provide the high level of service and support their customer base has come to expect."
 This announcement follows General Signal's recent decision, announced Jan. 14, 1993, to divest its semiconductor equipment operations. Since that time, General Signal has completed the sale of Ultratech Stepper to the unit's management and filed a registration statement for an initial public offering of its Electroglas unit. The offering was priced on June 24 at $16 per share with proceeds to General Signal of approximately $99.2 million being used for the repayment of outstanding debt and for general corporate purposes. The company recently signed a definitive agreement to sell its Drytek unit to Lam Research and has announced that it has signed a letter of intent to sell the Integrated Solutions business of GCA.
 General Signal Corporation, with 1992 sales of $1.6 billion, is a leading manufacturer of equipment and instruments for the process control, electrical, and industrial technology industries.
