GENERAL SIGNAL AGREES TO SALE OF GCA'S INTEGRATED SOLUTIONS

STAMFORD, Conn., May 11 /PRNewswire/ -- General Signal Corporation announced today that it has signed a letter of intent to sell GCA's Integrated Solutions business to the company's management, led by Ellery Buchanan, GCA's senior vice president. Terms of the agreement were not disclosed.
Based in Andover, Mass., GCA's Integrated Solutions provides worldwide maintenance and technical support services to semiconductor manufacturers who use GCA's microlithography equipment and provides third party sales and support services for other equipment manufacturers. According to Stephen W. Nagy, General Signal's chief financial officer, "we are pleased to have reached agreement with Mr. Buchanan's team because we believe they are best qualified to continue to provide the very high level of service and support that GCA's customers are accustomed to receiving."
General Signal previously announced on March 26 that it would offer for sale individually the three component businesses of its GCA unit. Mr. Nagy said "the other two GCA segments -- Tropel, its lens manufacturing operation, and GCA's XLS wafer stepper product line -- are continuing to be marketed and negotiations are progressing with possible buyers for each."
Since announcing its plans to divest its semiconductor equipment businesses in January 1993, General Signal has sold its Santa Clara, California-based Ultratech Stepper unit, filed a registration statement for an initial public offering for its Electroglas unit, and signed a letter of intent to sell its Horsham, Pennsylvania-based Assembly Technologies unit.
General Signal Corporation, with 1992 sales of $1.6 billion, is a leading manufacturer of equipment and instruments for the process control, electrical, and industrial technology industries.
