FemRx Announces Alliance with Allegiance Healthcare Corporation.

SUNNYVALE, Calif.--(BUSINESS WIRE)--Nov. 22, 1996--FemRx(TM), Inc. (Nasdaq: FMRX) announced today that it has entered into a distribution alliance with Allegiance Healthcare Corporation (formerly part of Baxter International, Inc.). Under the terms of this agreement, Allegiance's Custom Sterile group will produce and distribute the OPERASTAR(TM) Procedure Pack, which includes FemRx's OPERASTAR resectoscope and all other disposable supplies required to perform the OPERA(TM) (Out-Patient Endometrial Resection/Ablation) procedure. FemRx will supply the sales support for the OPERASTAR Procedure Pack while Allegiance will provide the distribution network for the delivery of the procedure kits to the end-user. "The OPERASTAR Procedure Pack is an excellent product that assists customers in achieving their cost objectives through controlling inventory and labor costs, two areas that contribute to excessive costs in the delivery of care," commented Jack Costello, Vice President of Sales & Marketing at FemRx.

"We chose Allegiance as our partner for providing our customers this additional service based on their clear position as the market-leader in custom kit manufacturing, outstanding medical distribution network and continuing innovation in meeting and exceeding the needs of the medical market," said Andrew Thompson, President and Chief Executive Officer of FemRx.

Mike Hudson, Vice President and General Manager of Allegiance Healthcare Corporation's Custom Sterile group commented, "Custom Sterile benefits from this alliance through FemRx's emerging presence in interventional gynecology and its cutting-edge technologies. Allegiance will have an exclusive distribution arrangement with FemRx in the arena of operative hysteroscopic procedure packs for gynecology."

Allegiance Healthcare Corporation, based in McGaw Park, Illinois, is the principal US operating subsidiary of Allegiance Corporation (NYSE: AEH). Through its subsidiaries, Allegiance is America's largest supplier of healthcare products and cost-management services to hospitals, laboratories and other health care providers. The company manufactures many of the products it markets, while others come from leading health and medical companies around the world. Allegiance also provides a range of integrated services such as clinical consulting, procedure-based supply packaging, just-in-time delivery and other services that help medical professionals control costs and improve quality in patient care.

Headquartered in Sunnyvale, California, FemRx is developing innovative surgical systems for the diagnosis and treatment of gynecologic disorders. FemRx's proprietary OPERASTAR and Flo-Stat(TM) systems are used during OPERA procedures, surgical interventions providing a less invasive alternative to hysterectomy for patients suffering from abnormal uterine bleeding (AUB).

By using the Company's system, gynecologic surgeons can resect the lining of the uterus and/or remove submucosal fibroids under direct visualization on a video monitor, while continuously morcellating and aspirating tissue from the uterus. Designed specifically for minimally invasive gynecologic surgery, both the OPERASTAR and Flo-Stat systems were launched commercially in the US in October 1996. -0-
