FTC GRANTS EARLY TERMINATION OF WAITING PERIOD REQUIRED BY HART-SCOTT RODINO ANTITRUST IMPROVEMENTS ACT OF 1976 FOR PENDING ACQUISITION OF DCA

 ALPHARETTA, Ga., Oct. 5 /PRNewswire/ -- Digital Communications Associates Inc. (DCA) (NYSE: DCA) today said that the United States Federal Trade Commission (FTC) has granted early termination of the waiting period required by the Hart-Scott Rodino Antitrust Improvements Act of 1976 for the pending acquisition of DCA.
 On Sept. 21, DCA announced that it had entered into a merger agreement with DCA Holdings Inc., a company organized by Welsh Carson Anderson & Stowe, New York, and the Sprout Group, Menlo Park, Calif., the venture capital arm of Donaldson, Lufkin & Jenrette, to acquire DCA in a transaction valued at approximately $195 million.
 Pursuant to the merger agreement, a subsidiary of DCA Holdings Inc., began a tender offer for DCA stock on Sept. 27. The tender offer is scheduled to expire at midnight Nov. 8. Under the merger agreement, early termination or expiration of the Hart-Scott-Rodino waiting period was one of the conditions to the consummation of the tender offer.
