FTC ASKS JOSTENS AND WICAT SYSTEMS FOR ADDITIONAL INFORMATION
MINNEAPOLIS, May 15 /PRNewswire/ -- Jostens, Inc. (NYSE: JOS), and Wicat Systems, Inc. (NASDAQ: WCAT), today announced that they each received from the Federal Trade Commission a request for additional information under the Hart-Scott-Rodino Act in connection with the April 6, 1992, agreement covering the proposed merger of Wicat Systems into Jostens.
The FTC's request extends the waiting period for reviewing the transaction. The companies noted that it is not unusual for the FTC to ask for additional information on this type of transaction. Jostens and Wicat Systems will respond quickly and cooperate fully with the FTC in its review. The companies also noted that the preliminary proxy materials to be delivered to Wicat Systems' shareholders have been mailed to the Securities and Exchange Commission.
The companies now anticipate that the Wicat Systems stockholders' meeting will be held sometime between late June and early August, with the closing of the transaction to occur immediately after the stockholders' meeting.
Jostens, headquartered in Minneapolis, is a leading provider of products and services for the youth, education, sports award and recognition markets. The Fortune 500 company last year reported of $860 million.
