FIFTH THIRD BANCORP SIGNS DEFINITIVE AGREEMENT TO ACQUIRE TWO KENTUCKY BANKS

 CINCINNATI, Dec. 6 /PRNewswire/ -- Fifth Third Bancorp (NASDAQ: FITB) announced today that it has signed a definitive agreement to acquire First National Bank of Falmouth and National Bank of Cynthiana, both of which are part of National Bancorp of Kentucky based in Lexington, Ky.
 Subject to regulatory and shareholder approval, First National Bank of Falmouth and National Bank of Cynthiana, with total assets of $102 million, will be merged into existing affiliates of Fifth Third Bancorp, expanding Fifth Third in two new counties in Kentucky. Fifth Third Bank of Northern Kentucky will acquire First National Bank of Falmouth's offices in Falmouth and Butler, which are in Pendleton County. National Bank of Cynthiana's offices in Cynthiana and Harrison County will merge into Fifth Third Bank of Central Kentucky, based in Lexington, which will allow Fifth Third to begin serving the Harrison County communities.

 Fifth Third Bancorp anticipates that the merger will be completed in the second quarter of 1994, subject to receipt of all necessary approvals. With the new offices, Fifth Third will have expanded its Kentucky presence to over 30 Banking Centers with assets in excess of $1.1 billion.
 Fifth Third Bank of Northern Kentucky and Fifth Third Bank of Central Kentucky are affiliates of Fifth Third Bancorp. Fifth Third Bancorp, headquartered in Cincinnati, has $11.4 billion in assets and 10 affiliate banks with 286 Banking Centers primarily in Ohio, Kentucky, Indiana and Naples, Fla., including 64 Bank Marts(R) open seven days a week inside select grocery stores. Fifth Third Bancorp's stock is traded on NASDAQ under the symbol "FITB."
