FIFTH THIRD $125 MILLION SUBORDINATED NOTES RATED 'A+' BY FITCH

 NEW YORK, Nov. 4 /PRNewswire/ -- Fifth Third Bancorp's $125 million convertible subordinated notes are rated 'A+' by Fitch. The company's credit trend is stable.
 The rating reflects Fifth Third's exceptionally strong asset quality which stems from the conservative credit culture fostered by senior management, as well as its consistently strong earnings and higher than peer capital ratios. Fifth Third's diverse range of product lines have resulted in large earnings contributions from its trust and data processing operations, greatly enhancing the earnings stability of the bank and the consolidated organization. Fifth Third's aggregate earnings during the twelve months ended Sept. 30 translated into an outstanding 1.72 percent return on assets.
 Fifth Third's positioning in key markets throughout Ohio, Kentucky, and Indiana has resulted in a geographically diverse portfolio which has provided additional stability to credit quality despite the cyclicality of the midwest economy. Consolidated asset quality improved steadily since March 1991, when nonperforming assets (NPAs), including loans past due more than 90 days, peaked at 2.24 percent of total loans and foreclosed properties. By Sept. 30, Fifth Third's NPA ratio had dropped to 1.27 percent, and reserves fully covered nonperformers.
 Fifth Third is predominantly core funded and has significant untapped capital resources to support future growth. The company is not expected to assume an aggressive growth posture or pursue acquisition opportunities outside its three-state territory. However, management will likely continue to focus on expansion through small bank acquisitions and de novo branching around its existing markets. The company's consolidated tangible common and Tier 1 equity ratios, at 9.3 percent and 11.6 percent, respectively, rank Fifth Third among the most highly capitalized banks in the industry.
