FIDELITY NATIONAL FINANCIAL INC. FILES REGISTRATION STATEMENT FOR $160,000,000 PRINCIPAL AMOUNT AT MATURITY OF LIQUID YIELD OPTION NOTES

 IRVINE, Calif., Nov. 22 /PRNewswire/ -- Fidelity National Financial Inc. (NYSE: FNF), one of the nation's leading title insurance underwriters, today announced that it has filed a Registration Statement with the Securities and Exchange Commission with respect to the proposed public offering of $160,000,000 principal amount at maturity of Liquid Yield Option Notes due 2008 (Zero Coupon-Subordinated) (the "LYONS"). Proceeds from the offering are expected to be approximately $75,000,000 exclusive of over-allotments, if any. The offering will be underwritten by Merrill Lynch and Co. The underwriter has an over-allotment option for 30 days after the Registration Statement becomes effective to purchase up to an additional $24,000,000 principal amount at maturity of the LYONS.
 The net proceeds from the sale of the LYONS are anticipated to be used by the company for general corporate purposes, including the acquisition of title insurance operations and complementary businesses as opportunities arise, as further described in the Registration Statement.
 The Registration Statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor any offer to buy be accepted prior to the time the Registration Statement becomes effective.
