EXIDE ELECTRONICS ANNOUNCES DISMISSAL OF SEC LITIGATION
RALEIGH, N.C., Sept. 15 /PRNewswire/ -- Exide Electronics Group, Inc. (NASDAQ: XUPS) announced today that the Delaware Chancery Court dismissed the class action securities suit brought against it in the case of Branson v. Exide Electronics Corp. et al. The plaintiff had alleged that the prospectus used in the Company's 1989 initial public offering omitted or misstated material facts regarding litigation then pending against the Company in United States District Court for the Northern District of California. Last week Exide Electronics announced that the Ninth Circuit Court of Appeals had reversed the judgment against the Company in that litigation, which was known as Hendry v. Exide Electronics Corp.
The Delaware Chancery Court issued a written opinion in the Branson case, concluding that the plaintiff's allegations failed to establish that the company's prospectus contained material misstatements or omissions actionable under federal securities laws. Accordingly, the Court dismissed the complaint for failure to state a claim.
Nicholas J. Costanza, Vice President and Chief Legal Counsel of the Company, stated: "Twice within a week Exide Electronics has won major litigation -- once on Sept. 8, 1992 in the Ninth Circuit Court of Appeals in California in the Hendry case and now in the Delaware Chancery Court in the Branson case. I am particularly gratified that the Delaware Court found no misrepresentations, material or otherwise, which support the plaintiff's claims. The Company's position that its prospectus was not misleading or inadequate has been vindicated." Another suit brought by the same plaintiff making substantially the same allegations against the Company's Directors and selling shareholders is still pending in the United States District Court for the Southern District of New York.
