ENVIRONMENTAL SERVICES OF AMERICA ANNOUNCES PLANNED ACQUISITION OF TRI-S
 NEWARK, N.J., Jan. 10 /PRNewswire/ -- Environmental Services of America, Inc. (NASDAQ-NMS: ENSA), announced today that it has entered into a letter of intent to acquire all of the outstanding stock of TRI-S, Inc., a privately owned company engaged in hazardous waste management, transportation and disposal, and environmental consulting.
 In the acquisition, the shareholders of TRI-S would receive from ENSA consideration consisting of cash, ENSA stock, and notes, plus contingent payments based on TRI-S' profitability for 1992 and 1993. For the year ended Dec. 31, 1991, TRI-S estimates that its revenues and pre-tax profit were approximately $6 million and $300,000, respectively.
 Consummation of the transaction is subject to the conditions set forth in the letter of intent, including, among other things, satisfactory completion of due diligence and the execution by the parties of a mutually satisfactory acquisition agreement.
 TRI-S is headquartered in Ellington, Conn., with additional offices in Brattleboro, Vt. TRI-S conducts transportation operations in 42 states, as well as remediation and other activities principally in New England. Jon Colin, president and chief executive officer of ENSA, stated: "The acquisition of TRI-S would significantly increase the activity at our TSD (treatment, storage and disposal) facility located in Canastota, N.Y. (NES). This acquisition would also establish a national waste transportation network that complements our existing operations, and permits a significant expansion of ENSA's remediation services."
 Environmental Services of America, Inc., is a diversified environmental services firm specializing in the identification, management, remediation, treatment, transportation and disposal of hazardous and non-hazardous waste. Additionally, the company provides consulting services related to sub-surface geological investigations and air quality testing, analysis and monitoring for private and public entities.
