 HOUSTON, Nov. 8 /PRNewswire/ -- Envirofil, Inc. (NASDAQ-NMS: EFIL) (the company) announced today it has consummated its acquisitions of Environmental Waste of America, Inc. (EWA), Brem-Air Disposal, Inc. (Brem-Air) and Kitsap County Sanitary Landfill, Inc. (KCSL).
 EWA, Brem-Air and KCSL are engaged in solid waste operations in the Seattle area. The aggregate purchase price for the acquired companies consisted of approximately $21 million in cash and 2.7 million shares of the company's common stock.
 KCSL owns and operates the Olympic View Sanitary Landfill, a nonhazardous solid waste landfill located on approximately 420 acres in Kitsap County, Wash. Kitsap County is located across the Puget Sound from Seattle. Brem-Air provides solid waste collection and recycling services in Kitsap County. EWA owns and operates collection companies in Skagit County, Wash., located approximately 60 miles north of Seattle, and Island County, Wash., immediately south of Skagit County. The combined revenues of KCSL, Brem-Air and EWA in calendar 1992 were approximately $20 million.
 David Sutherland-Yoest, the company's chief executive officer, stated that the acquisitions of Brem-Air, KCSL and EWA "will significantly advance our business plan. We believe the Brem-Air/KCSL operations represent one of the most attractive fully integrated solid waste operations in the Pacific Northwest. Together with our recent acquisitions in California, these companies represent the base from which our operations in the Western United States will be built."
 The company previously announced acquisitions of Sacramento Valley Environmental Waste Company (SacVal) and Stockton Scavengers Association (Stockton), which provide collection and recycling services in the Sacramento and Stockton, Calif. areas. The company also announced today it has completed its acquisition of Amador County Environmental Services (ACES), which provides collection and recycling services in Amador County, Calif. The purchase price for ACES consisted of $1 million in cash and 32,000 shares of the company's common stock, bringing the company's 1993 investment in the Northern California market to a total of approximately $16 million.
 The company financed its recent acquisitions with proceeds from a revolving credit facility with The First National Bank of Boston together with proceeds from the private placement of common stock and convertible preferred stock to a small number of the company's institutional and venture capital shareholders. These shareholders include, among others, Alex. Brown European Environmental Fund, the Argentum Group, Chatsworth Management Services, Ltd., Environmental Private Equity Fund II, L.P., Gartmore American Emerging Companies Strategy Fund and Mercury Asset Management.
 As previously announced, the company has executed definitive agreements to acquire four collection operations in the State of New Jersey and a 25 percent interest in a separate recycling operation in New Jersey. Those acquisitions are subject to the receipt of certain regulatory approvals, including the approval of the New Jersey Department of Environmental Protection and Energy. When these approvals are obtained, the New Jersey operations will represent the base from which the company will develop its Eastern United States operations.
 The company is engaged in the acquisition, operation and development of nonhazardous solid waste landfills and related collection and recycling operations. The company provides its services to residential, commercial and industrial customers in California, Washington, Illinois and Missouri.
