ENHANCED IMAGING ACQUIRES THE TORRANCE MEDICAL IMAGING OPERATION OF MILES

IRVINE, Calif., May 3 /PRNewswire/ -- Enhanced Imaging Technologies Inc. (NASDAQ: EITI), has purchased substantially all of the assets of the Torrance-based medical imaging operations of the Agfa Division of Miles Inc. (Agfa). The new business will be identified as the Systems Division of EIT. The division will continue to manufacture the Cinestore(R) line of digital imaging products used in the cardiac catherization laboratories (cath labs) as well as equipment and components for original equipment manufacturers for use in radiology, ultrasound and magnetic resonance imaging applications. Agfa will continue to sell the Cinestore products. The transaction, which became effective May 1, 1993, was announced here today by Peter Tong, chief executive officer of Enhanced Imaging. Terms of the acquisition were not disclosed.
"We have a long-standing relationship with Agfa that made this transaction a natural one for both parties," said Tong. "Miles wanted to sell this unit to someone they could rely on to continue to produce the high-quality products for which the Torrance group is known. The acquisition is also very strategic to EIT. The Torrance operation gives us a foothold in the growing digital imaging market for medical applications. Our wholly owned subsidiary, Vari-X, is the leading distributor of cine angiography film and related products to cath labs in the United States. Although film is still the gold standard for recording and storing angiography procedures, we want to be among the leaders of innovation as digital imaging products become more important to our cath lab customers."
Enhanced Imaging, together with its wholly owned subsidiaries Vari-X Inc. (Vari-X) and Optical Devices Inc. (ODI), sells products and provides service that produce high quality visual images. EIT's Systems Division develops and manufactures equipment and components that capture analog images from X-ray, ultrasound and magnetic resonance imaging sources and convert them to digital images for real-time review or further conversion to high-quality film images. Vari-X is the leading supplier of specialized cine films and related imaging services and products to cardiac cath labs. ODI designs, manufactures and markets optical filters that enhance the image quality and safety of electronic visual displays.
Agfa is the imaging division of Miles Inc. Headquartered in Ridgefield Park, N.J., Agafa manufactures and markets products and systems for the electronic and photographic prepress, medical and technical diagnostic and amateur and professional photographic markets. Miles Inc. is a Fortune 100, research-based company with businesses in chemicals, health care and imaging technologies. Headquartered in Pittsburgh, Miles employs some 23,000 people throughout North America. In 1992, the company's sales were about $6.5 billion.
