ELIZABETH A. SANDERS ELECTED CHAIRMAN OF CARL KARCHER ENTERPRISES

 ANAHEIM, Calif., Oct. 1 /PRNewswire/ -- Carl Karcher Enterprises Inc. (NASDAQ: CARL) today announced that Elizabeth A. Sanders was elected chairman of the board, succeeding company founder Carl N. Karcher. The company also announced that the board approved a lifetime retirement benefit for Karcher of $200,000 a year.
 For 19 years until 1990, Sanders was associated with Nordstrom Inc., where her last assignment as vice president and general manager was to lead that company's entry into the California market. In the 12 years under her management, the region went from one to seventeen stores and was the first company region to achieve more than a billion dollars annually in revenues.
 Sanders, 48, is presently active as a business consultant and speaker. She also serves on the board of directors of H.F. Ahmanson, The Vons Companies Inc., Sport Chalet Inc., and Wal-Mart Stores Inc.
 The company stated that the board's action with respect to Mr. Karcher was taken with regret in view of his long history with the company and the directors' personal friendships with him. However, the disruption caused by his recent actions, including interfering with management's long-term marketing strategy, necessitated Mr. Karcher's removal as chairman at this time. In particular, the company said Mr. Karcher has embarked on a relentless pursuit of a marketing proposal which the board carefully researched and reviewed and then rejected. Despite the board's decision, Mr. Karcher continues to cause disruption throughout the company, which the board believes is motivated by his personal financial difficulties.
 The company stated that in the last three weeks, Mr. Karcher had rejected several proposals from the majority directors for an amicable settlement of a dispute involving board control, management, and the strategic direction of the company. Included among the directors' proposals was a continuation of Mr. Karcher's role in the company and, consistent with the interests of all stockholders, agreement to work with Mr. Karcher in dealing with his personal financial difficulties. The majority directors have concluded that Mr. Karcher's recent activities are disruptive and damaging. They have called upon Mr. Karcher to bring a stop to them promptly.
