ELECTROMAGNETIC SCIENCES ANNOUNCES ACQUISITION OF CAL CORPORATION AND ORGANIZATION OF EMS TECHNOLOGIES, INC.

 ATLANTA, Jan. 28 /PRNewswire/ -- Electromagnetic Sciences, Inc. (NASDAQ: ELMG) announced today that it has acquired a majority equity interest in CAL Corporation through a combination of direct investment in CAL and purchases of a portion of shares previously held by its principle shareholders.
 As a result of anticipated additional purchases of CAL shares from current shareholders, ELMG expects that its ownership interest in CAL will exceed 70 percent in the near future. The remaining CAL shares will continue to be held by CAL's current shareholders, most of whom are its officers and employees. The cost to ELMG of its equity position is approximately $2.1 million, of which $1.6 million is being invested directly in CAL, and ELMG will provide additional financing to CAL through intercompany loans.
 CAL, a company with sales of approximately $24 million (U.S.) in fiscal year 1992, is based in Ottawa, Canada, with offices in the United Kingdom and Australia. CAL has a 17-year history as an important designer and provider of communications and other electronic systems for Canadian, European and United States space programs. CAL is also a leader in the development and sale of mobile satellite communications equipment, principally antennas and terminals for business aircraft and over-the-road trucks. These products permit continuous satellite-based communications throughout the operating range of the aircraft or truck.
 ELMG has also separately announced that it has formed a wholly owned subsidiary, EMS Technologies, Inc., that is now conducting the microwave and antenna businesses that were previously conducted directly by ELMG. As a result of this reorganization and the CAL acquisition, ELMG operates its businesses through three separate subsidiaries, EMS Technologies, LXE Inc. and CAL.
 John E. Pippin, chairman of the board and chief executive officer of ELMG, stated: "We believe that CAL has proven ability in the development and implementation of satellite communications systems and equipment, and that its expertise will be very complementary to the strengths of EMS, as a provider of high-quality microwave communications hardware, and of LXE, as a leading supplier of wireless mobile data communications systems in materials handling applications. We believe that by bringing CAL into ELMG, each of CAL, EMS and LXE will benefit from the particular technological and marketing strengths of the other companies, and each will be in a stronger position to participate in emerging markets for mobile communications systems and to further expand its commercial business."
 Through the EMS Technologies subsidiary, Electromagnetic Sciences, Inc. designs and produces microwave systems, antennas, subsystems and components for communications, surveillance, radar and countermeasures applications. Through its LXE subsidiary, ELMG designs and produces wireless data communications systems for real-time transaction processing in materials handling operations.
