DRESSER TO ACQUIRE TK VALVE

 DALLAS, March 5 /PRNewswire/ -- Dresser Industries, Inc. (NYSE: DI) and Sooner Pipe & Supply Corporation, Tulsa, Okla. have announced that an agreement has been reached for Dresser to purchase Sooner's TK Valve subsidiary. TK manufactures ball valves in Hammond, La., and Dunfermline, Fife, Scotland and has sales and service facilities in Anchorage, Calgary, Aberdeen, Singapore and Abu Dhabi. Terms were not disclosed.
 "TK Valve is one of the world's leading suppliers of ball valves for the oil and gas production and transmission industry," stated John J. Murphy, chairman and chief executive officer of Dresser. "This acquisition breaks new ground for Dresser, adding a major line of valves and new markets in the United States and overseas to our existing valve and control businesses."
 According to Henry Zarrow, president of Sooner, "Dresser will continue to foster the growth and entrepreneurial spirit at TK that we have tried to encourage over the last 30 years. Dresser's reputation in the industry is unmatched, and it will provide a good home for TK, its employees and customers. Sooner looks forward to concentrating our efforts on our worldwide pipe and supply distribution activities."
 Jack Zarrow, executive vice president of Sooner, added, "Sooner will remain involved in flow control activities, both through Sooner's continued distribution of TK's products in the United States and the further development of our Prime Actuator manufacturing subsidiary in Scotland."
