DR PEPPER/SEVEN-UP COMPANIES, INC. OFFERS 20,522,089 COMMON SHARES AT $15.00 PER SHARE

 DALLAS, Jan. 27 /PRNewswire/ -- Dr Pepper/Seven-Up Companies, Inc. (NYSE: DPS) today reported that it has commenced its previously announced initial public offering of 20.52 million shares of common stock. The price of the offering was fixed at $15.00 per share, with the closing expected to occur on Feb. 2, 1993. Of the shares of common stock to be sold, 16,502,089 shares are being offered in the United States and four million shares are being offered in a simt?aneous international offering.
 Of the shares of common stock to be sold, 20 million shares are being offered by the company, 500,000 shares by a selling stockholder and 22,089 shares by certain selling warrantholders. The company and the selling stockholder have also granted to the U.S. Underwriters over- allotment options exercisable for 30 days to purchase an aggregate of up to 3,078,313 additional shares.
 Net proceeds of the offering to the company are estimated at $283,500,000 and will be applied to redeem a portion of the company's outstanding 11-1/2 percent senior subordinated discount notes due 2002, repay borrowings under the company's bank credit agreement and redeem the outstanding senior exchangeable preferred stock of the company,
 Morgan Stanley and Co., Incorporated, BT Securities Corporation, PaineWebber Incorporated and Prudential Securities Incorporated are the lead managing underwriters for the offering in the United States.
 Dr Pepper/Seven-Up Companies, Inc. is the third largest producer of soft drink concentrates in the United States. Through its operating subsidiaries, the company manufactures, sells and distributes soft drink extracts, concentrates and fountain syrups. DR PEPPER formulated in 1885, is the oldest nationally distributed soft drink brand. 7UP has been a market leader in the lemon-lime category of the soft drink industry for more than 60 years.
 The company's common stock trades on the New York Stock Exchange under the symbol DPS.
