DNA PLANT TECHNOLOGY TO SHARPEN STRATEGIC FOCUS -- COMPANY TO EMPHASIZE COMMERCIALIZED PRODUCTS --

CINNAMINSON, N.J., Nov. 30 ~PRNewswire~ -- DNA Plant Technology Corporation (NASDAQ: DNAP) announced today several steps as part of its strategy to concentrate its resources on those businesses where the company has already achieved commercial sales: premium fruits and vegetables, specialty edible oils, and environmental diagnostics.
"Our sharpened focus will enhance our competitive position in agricultural biotechnology and strengthen our position of scientific leadership in the industry," said Robert Serenbetz, president and chief executive officer. "We will focus our efforts and resources on those businesses which we believe offer the greatest growth potential and the greatest opportunities for commercial success."
DNAP will consolidate basic research activities at its Oakland, Calif. facility, while certain product development activities continue in Cinnaminson. The company's farming operations will be consolidated at its Brentwood, Calif. farm, and DNAP's diagnostic activities will be consolidated at its Cinnaminson headquarters. The diagnostics division of the company will focus its activities on the marketing of its Quantix(TM) environmental workstations and pesticide detection products.
As a consequence of the strategic focusing and these consolidations, DNAP will reduce its workforce by 35 positions. A charge of approximately $3 million, of which $1 million is non-cash, will be taken during the fourth quarter of 1992 for costs related to severance, relocation and consolidation, as well as costs related to the discontinuation of certain research and development projects.
DNAP is pursuing a number of options to maximize the value of its floriculture and ice modification technologies. For example, the company is currently in negotiations for the licensing of its BIND(TM) technology, which is used for the detection of food pathogens, including salmonella.
DNAP also said that it has reached an agreement in principle to sell its founder shares of Plant Genetic Systems, N.V. (PGS) for $2.5 million in cash, subject to the execution of definitive documents. PGS shares were acquired by DNAP when the company merged with Advanced Genetic Sciences in 1988. Consummation of this transaction will result in a $2.5 million gain.
"By concentrating on these businesses, where we have already introduced products into the market, we expect to create additional growth opportunities," said Serenbetz. "Our technological expertise will be directed toward developing new and improved products in these areas, as well as toward maintaining scientific leadership in agricultural biotechnology. The consolidations of key functional departments will enhance our overall efficiencies.
"We continue to be pleased with the commercial progress in our key business areas. FreshWorld is gaining distribution of its VegiSweet(TM) bulk branded produce line to complement VegiSnax(R) snacking vegetables. InterMountain Canola is midway through a successful early sign-up program for growers of the 1993 crop, which has led to commitments for more acreage than was contracted during all of 1992. Also, relationships with a number of potential customers are continuing to be developed. Finally, sales of our Quantix(TM) workstations are progressing well."
DNAP is a leading agricultural biotechnology company, applying a spectrum of technologies to develop and commercialize plant-based products and environmental diagnostics for consumer and industrial markets. The company has two major operating joint ventures with DuPont -- FreshWorld in branded produce, and InterMountain Canola Company in canola oil.
