DIRECTORS AGREE TO PURCHASE 1,600,000 OUTSTANDING DRUG EMPORIUM SHARES

COLUMBUS, Ohio, April 29 /PRNewswire/-- Drug Emporium, Inc. (NASDAQ: DEMP) announced today that three company directors have agreed to buy 1,600,000 shares of company stock. John B. Gerlach, David L. Kriegel and William L. Sweet Jr. will buy the shares being sold by company founder Philip I. Wilber, long-time director A.D. Pelunis and other shareholders.
Kriegel, the company's chairman and chief executive officer, will purchase 600,000 shares, raising his holdings to 959,660 shares or 7.3 percent of the outstanding shares of the company. Gerlach will purchase 980,000 shares, raising his holdings to 1,233,000 shares or 9.4 percent of the outstanding shares. Sweet will purchase 20,000 shares.
Kriegel said, "This purchase of shares not only reflects the confidence that Bernie Gerlach, Bill Sweet and I share about the future of Drug Emporium but, more importantly, leaves the company in a more flexible financial condition than if it had redeemed the shares."
Wilber, Pelunis and the other shareholders last May announced their desire to sell the shares to satisfy personal debts. In February 1993, the company agreed to purchase the shares. Today, the board of directors agreed to assign the company's rights to repurchase the shares to Gerlach, Kriegel and Sweet. The price is based on the market price of the stock on the five trading days preceding Jan. 30, 1993.
Kriegel also announced the appointment of Robert Meeder, 64, to the board of directors, to fill a vacancy. Meeder, chairman and chief executive officer of an investment firm, previously served on the Drug Emporium board from 1983 to 1988.
Drug Emporium is a national chain of 133 company-owned stores specializing in competitively priced health and beauty aids, prescription drugs, cosmetics and general merchandise. The company also franchises an additional 99 Drug Emporium stores.
