DION ENTERTAINMENT ENTERS U.S. INDIAN GAMING MARKET

 TORONTO, June 28 /PRNewswire/ -- Dion Entertainment Corp. (TSE: DIO) announced today that its recently incorporated wholly-owned subsidiary, Dion First American Inc., has entered into a joint venture agreement with U.S.C. Corp., a South Dakota corporation.
 The joint venture will serve as the exclusive manager of the Fort Sill Apache Tribe (the "Tribe") existing Class II gaming operation located in Lawton, Okla. and all of the Tribe's future Class II and Class III gaming activities in the states of Oklahoma and Arizona conducted pursuant to the provisions of the National Indian Gaming Act of 1988.
 Dion First American Inc. will hold a 70 percent interest in the joint venture which will do business as Dion First American -- Fort Sill. Dion First American Inc. initial investment in the joint venture will take the form of a loan of approximately US$2,550,000 to the Tribe in respect to the existing Class II operation located in Lawton. The said operation consists of a high stakes bingo hall. Dion First American has advanced an initial US$320,000 that will be used to remodel and expand the existing facility.
 It is the intention of the Tribe and the joint venture in cooperation with other Oklahoma Tribes to immediately initiate a legislative initiative for approval of a Casino Class III gaming license.
 The Tribe also has Tribal lands in Arizona which may create for the joint venture, an additional potential Class III gaming opportunity.

Dion is also the exclusive distributor in Canada of all gaming equipment manufactured by Bally Gaming, Inc. of Las Vegas, a wholly-owned subsidiary of Bally Gaming International, Inc. (NASDAQ: BGII).
 More recently, Dion entered into an agreement with Showboat Development, Inc., a wholly-owned subsidiary of Showboat, Inc. (NYSE: SBO) to submit a bid to build and operate a major casino and hotel facility in Windsor, Canada.
