DIGITAL COMMUNICATIONS ASSOCIATES AGREES TO ACQUIRE COMPUTER LOGICS

ALPHARETTA, Ga., Feb. 19 /PRNewswire/ -- Digital Communications Associates Inc. (DCA) (NYSE: DCA) today announced it has agreed to acquire Computer Logics Limited, Cleveland, Ohio -- a manufacturer of data communications products for personal computer (PC) to IBM and Unisys mainframe connectivity -- for approximately $8 million in cash and a retirement of approximately $4 million in shareholder debt.
Under the terms of the agreement, the purchase price may increase by a maximum of approximately $4 million based on the performance of the Computer Logics and related DCA product lines over the next two years. DCA and Computer Logics expect to complete the transaction before the end of March.
Founded in 1983 and privately held, Computer Logics designs, manufactures, markets and supports products for workstation connectivity to IBM and Unisys mainframes from a variety of desktops over a broad range of protocols.
DCA acquired a line of Unisys communications products through its merger last April with Intercomputer Communications Corp., formerly of Cincinnati, Ohio. DCA's IRMA line of PC to IBM communications mainframe hardware and software products are considered a "de facto" standard in the industry.
"This acquisition complements DCA's existing Unisys communications product offerings, resulting in greater technological depth for the Unisys arena," said Charles G. "Garry" Betty, DCA's president and chief executive officer. "The acquisition enhances our commitment to Unisys and our position as the only company that provides customers multi-host solutions for PC to mainframe communications."
"We believe Unisys customers will be well served by this acquisition, as they will have the broadest range of communications solutions available today from one of the most well recognized communications providers in the market," said William E. Pritts II, Computer Logics' president and chief executive officer, who will become DCA's chief financial officer.
A graduate of Case Institute of Technology, Pritts has been president of Computer Logics and one of its predecessor companies since 1983. Pritts is a certified public accountant (CPA) and is a former partner at Ernst & Young.
DCA intends to restructure Computer Logics and integrate it into the company. The specifics of the restructuring will be worked out during an evaluation period over the next 60 days.
During its fiscal year ended December 31, 1992, Computer Logics had sales of $23.8 million. Profits were not disclosed.
DCA's sales for its fiscal year ended June 30, 1992, were $209.4 million with earnings of $19.7 million.
Based 30 miles north of Atlanta with offices worldwide, DCA designs, manufactures, markets and supports products worldwide that enhance productivity for PC users.
