DIAL PAGE INFORMED OF CLAIM AGAINST TRANSIT

GREENVILLE, S.C., Dec. 10 /PRNewswire/ -- Dial Page, Inc. (NASDAQ: DPGE) announced today that Transit Communications Corporation ("Transit"), with which Dial Page has a merger agreement, and certain of Transit's affiliates have been named as defendants in a lawsuit filed in the New York Supreme Court and in a lawsuit filed by certain of the same plaintiffs in federal district court in northern Georgia.
Both actions allege that certain parties including Richard H. Stewart, Transit's chairman and chief exeuctive officer, appropriated opportunities to acquire Specialized Mobile Radio ("SMR") licenses for C&D Communications, Inc., and its parent, Digital TransService Corporation, corporations of which Stewart was formerly president and chief executive officer, and provided those opportunities to themselves and Transit. The complaints charge that Transit aided and abetted and conspired in the breach of the defendants' fiduciary duties to these companies. In addition to substantial monetary damages and other relief from the defendants including Transit, the plaintiffs seek to impose a constructive trust on certain SMR interests of Transit and to enjoin the transfer of these interests in the Transit merger.
Transit has advised Dial Page that it has undertaken an investigation and intends to defend itself vigorously and fully in the litigation. Dial Page has not had an opportunity to investigate the claims and cannot assess the impact of this litigation on the Transit merger.
Dial Page, Inc. provides SMR paging and messaging services throughout the southeastern United States.
